The Board of Directors is responsible for the overall direction and supervision of the management and holds the ultimate decision making authority for Unigestion Holding SA, except for those decisions reserved to the shareholders.
The members of the Board of Directors are:
In terms of corporate governance, we believe that the key is a good balance of distance and transparency between the Board, the management and the shareholders. This is why we made the decision to have a Board comprising mostly of non-executive members.
All Board members are independent and non-executive directors with the exception of the Chairman and the Deputy Chairman of the Board of Directors, Mr. Bernard Sabrier and Mr. Patrick Fenal, who hold an executive post.
The Board of Director’s primary responsibilities include:
- Setting the Group strategy;
- Determining the organisational structure and governance;
- Appointing, overseeing and dismissing key executives and planning their succession;
- Determining and overseeing the financial planning, accounting, reporting and controlling;
- Approving the annual financial statements;
- Overseeing compliance and risk management; and
- Approving major transactions and investments.
The Board of Directors meets as often as business requires, and at least four times a year.
The Board of Directors has delegated certain responsibilities to two committees: The Audit and Risk Committee and the Compensation Committee.
